Event Participation Terms & Conditions

By submitting an entry to participate in a Seedstars Event, these terms and conditions apply to you. You agree to abide by, and accept all the terms below.



1. Definitions


Event: the specific competition or event which you have entered into.

Participant: you, as a natural person or legal entity, as registered to enter an Event.

Partner: the company, legal entity or natural person working with Seedstars for the Event, including Investors.

Seedstars: any Seedstars company in charge of organising the Event, affiliates or subsidiaries.

Sponsor: the company, legal entity supporting and contributing to the Event.

Parties: should be understood as encompassing Seedstars and Partner(s) and Investor(s) and/or Sponsor(s).

Winner: natural person or legal entity chosen to win the Event.



2. General conditions of participation in the Event


The Competition is open to all persons who are 18 years or older. There is a limit of only one entry per business entity (or by an affiliated group of business entities). Employees of the Parties are ineligible.

Except if stated or agreed on explicitly otherwise, you will have to cover your own travel and accommodation arrangements as well as any related costs to participate in the Event.

The decision of judges or panelists is final and conclusive in all circumstances and no correspondence will be entered into.

When applicable, the Parties may offer Winners various prizes. Such prizes are not transferable to another individual and no cash or other alternatives will be offered. Prizes consisting of equity investments are not unconditional upon nomination as winner of the Event but are subject to further review (including but not limited to negotiations with the Participant, investment due diligence, etc). The Parties reserve themselves the right to make such an investment or not at the outcome of such review.

Winners are responsible for expenses and arrangements not specifically included in the prizes, including any necessary travel documents, passports and visas. Prizes are subject to availability and the Parties reserves the right to amend or alter the prizes or revoke prizes from participants not entering into the spirit of the competition.

If the Winner is unwilling or unable to accept the prize requirements, such potential Winner may be disqualified and all privileges otherwise due as a Winner may be terminated and an alternative Winner may be chosen from among all of the remaining eligible entries received if time permits in the Parties’ sole discretion.



3. Issues with entries


The Parties shall have no liability not responsible for late, lost, delayed, damaged, misdirected, incomplete, illegible or unintelligible entries, which will not be accepted, or for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, service providers, computer equipment, or software, failure of any email or entry received by Seedstars on account of technical problems or traffic congestion on the Internet, problems with any of Seedstars’ websites or external party website, or any combination thereof, including any injury or damage to the entrant’s or any other person’s computer resulting from downloading any materials in connection with Seedstars and the Event. Additional, multiple, and/or mechanically generated entries will be disregarded and may result in total and permanent disqualification from the Event.



4. Seedstars Code of conduct and policies


Registration on the website and creation of an account means you commit to respect all values and provisions outlined in the Seedstars Code of conduct and related policies when using the website, participating in a Program or Event and in any interaction with Seedstars.



5. Damages


By entering the Event, you waive all rights to claim, (i) punitive, incidental or consequential damages, (ii) any and all rights to have damages multiplied or otherwise increased, and (iii) any other damages, other than damages for actual out-of-pocket expenses, or any award of equitable relief, including injunctive relief or an award of specific performance.



6. Intellectual Property


By your participation, you declare that you have sufficient ownership of intellectual property rights (trademarks, etc), programmes and/or content included in your application and any following presentation, pitch or otherwise, and that you do not infringe on any intellectual property right or any other rights that any third party may hold in Switzerland or abroad regarding the contents and exempting Seedstars and its partners from any liability regarding the use of the above-mentioned content.

Specifically, and in relation to the content and images that you may make public during the Event, you guarantee and are liable to the Parties and third parties for the following aspects:

  • You are the legitimate owner or holder of rights, granting the Parties the license for their publication and, where appropriate, have obtained the necessary consent from third parties to do so.
  • You do not violate applicable laws such as those relating to the right to privacy, image and/or honour, intellectual, industrial or similar property rights, or any right of a third party, either a person or an entity.
  • In the unlikely event that you publish personal details about another person during the course of the Event, you should have previously obtained their consent for the publication.

You will therefore be liable to the Parties for the accuracy of the details reported, ensuring that they do actually correspond to you and not to a third party, holding the Parties harmless from any demand or claim that, if applicable, could be made by third parties in relation to the above statements, and any legitimate right to the content that is published and/or provided to the Parties as part of the Event.

You are in any event solely liable for the consequences of damages or actions arising from the use of the content included in proposals, presents or related thereof, as well as their reproduction and diffusion.



7. Data Protection


In accordance with the General Data Protection Regulation in force, participants of the Event are informed that the controller of their personal data is Seedstars SA at 36 avenue Cardinal-Mermillod, 1227 Carouge, Geneva, Switzerland.

This data is shared with the Partners, Investors and Sponsors. We, the Parties, will process your personal data, collected via the registration or sign-up forms for the Event, for the purpose of managing your participation, selection procedures as part of the Event, make introductions, as well as to manage communication with the Winner of the competition and be able to deliver the prize and publish the participants’ name and image on our website and in any other format. This also includes data you have provided to participate in the Program (name, sector, founders, stage, and all data collected in the application form) or collected during the time of the Program (IRS score, sales presentations, etc). We will also provide you with information about new products or services, to send you survey invitations for existing or new products or services, to improve our products and services, and other internal business purposes.

The legitimate basis for the processing is principally the consent of the data subject or participant, granted through the acceptance of these Legal Rules or their signing-up to the Event. You will have the right to withdraw the consent granted at any time, easily and free of charge, by writing at [email protected], although this will not affect the lawfulness of the processing prior to the withdrawal. If you do not want us to collect, use and share the Personal Information or receive email communications, please discontinue your use of the Seedstars site and refrain from participating in the Event. In any case, failure to provide the personal data required could prevent you from taking part in the Event.

The personal data the Participants provide to us must always be accurate and complete. In the event they are false, we reserve the right to withdraw any prize won by the participant at any time.

In general, your personal data will not be disclosed to other third parties except when provided or imposed by a law. Notwithstanding the foregoing, your personal data may be disclosed to collaborative, promotional or organisational entities and other participants in the competition, for the purpose of the Event organisation, promoting you and contacting you due to the interest generated as a consequence of your participation in the competition. In the event these collaborative entities are located outside the European Union, an international transfer of data will take place.

Lastly, you are informed that you may exercise your rights of access to and rectification or erasure of personal data, the right to data portability, the right to object and, where applicable, to not be subject to decision-making based on automated processing, including profiling, by sending a written communication via email to [email protected], with the reference to the name of the Event and “Exercise Rights”.



8. Use of images and recordings


The Parties may take photographs and films during the Event to be used as a public record or for publicity and/or promotional purposes. You, as a Participant, consent and give permission to the Parties, affiliates and subsidiaries, to use these images, including any motion picture, still photograph and sound records of your voice for the purposes of the Event and in connection with the diffusion of Seedstars and its activities which may include advertising, promotion and marketing.

This exploitation includes the right to reproduce, publish, represent, adapt, edit, crop, alter or modify these Images of me and combine such Images with other images, text, audio recordings and graphics without notifying me. These images could be used in print and digital media formats including print publications, websites, e-marketing, posters banners, advertising, film, social media, teaching and research purposes.

Furthermore, you allow Seedstars to transfer the granted rights to any third party, that you will not have the right to approve any of the material and that they might not be named as a participant in the Event. The participants acknowledge that they do not expect to gain financially from their appearances in any Events-related material.

You understand that images on websites can be viewed throughout the world and not just in Switzerland and that some overseas countries may not provide the same level of protection to the rights of individuals as Swiss legislation provides. You understand that some images or recordings may be kept permanently once they are published and be kept as an archive of the Parties.



9. Reserved rights


We reserve the right to restrict participation in the Event or disqualify any entry for any reason, including any act in violation of these rules or any unethical or disruptive conduct. We also reserve the right to suspend, terminate, or modify the contest at our sole discretion if any fraud, technical or other factors impair the integrity or function of the Event and to seek reasonable damages, including attorney’s fees, from those responsible, if any.



10. Cancellation of the Event

We shall be entitled, in our reasonable discretion, to cancel, delay and/or recommence an Event with immediate effect by email without any liability to you. We may cancel an Event at our sole discretion.


11. Exclusion of liability / indemnity

Without excluding, restricting or modifying the rights and remedies to which you may be entitled under applicable law or our liabilities under those provisions:

  1. we are not liable to you for any cost incurred or loss or liability you suffer in any way in relation to the Event. This includes personal injury and property damage.
  2. you acknowledge that the details of the Event are set out on the Website and are subject to changes we make in our sole discretion with or without notice to you and that we do not make any warranty or representation as to: (i) the suitability of the Event to your circumstances; (ii) the suitability of judges; (iii) your prospects of winning a prize; (iv) the effect of the Event on you or your idea; or (v) any other thing related to the Event.
  3. we exclude all other implied terms and warranties, whether statutory or otherwise, relating to the Event and the subject matter of our agreement with you.
  4. we will not be liable to you for indirect or consequential loss arising from or connected to our agreement with you in contract, tort, under any statute or otherwise (including, without limitation, for loss of revenue, loss of profits, failure to realise expected profits or savings, loss of intellectual property, breach of confidence or any other commercial or economic loss of any kind).
  5. our liability to you for loss or damage of any kind arising out of our agreement with you or in connection with the relationship established by it is reduced to the extent (if any) that you cause or contribute to the loss or damage. This reduction applies whether our liability is in contract, tort (including negligence), under any statute or otherwise.

You indemnify us in relation to any loss caused by:

  1. a breach by you of these terms and conditions; or
  2. any action by a third party in relation to your use of intellectual property in relation to the Competition.


12. Force Majeure

We shall not be liable to perform any of our obligations under the Event or in respect of prizes where we are unable to do so as a result of unforeseen circumstances or circumstances beyond our reasonable control and we shall not be liable to compensate you in such circumstances.


13. Confidential information

You agree to keep confidential any information which you know or reasonably ought to know is confidential and relates to us, our business or the Event.

There is no reasonable expectation that the contents of its application are confidential information and that none of the sponsors, Seedstars, the judges, and/or panelists will be under any obligation to treat such application and its contents as confidential information.


14. Acceptance of terms & conditions

Mere registration for the Event implies acceptance of the whole contents of these Terms and Conditions. Non-acceptance of any of the points that make up these Terms and Conditions entails non-participation in the Event and, in the event of being selected and/or winning, automatically renouncing the prize.


15. Applicable law & dispute resolution

This Agreement is governed by the laws of the Canton of Geneva, Switzerland. Any disputes related thereof or in relation with the participation in the Event shall be adjudicated by the Courts of Geneva, Switzerland.

By entering the Event, you agree that (1) any and all disputes, claims, and causes of action arising out of, or in connection with, the Event, or any award granted shall be resolved individually without resort to any form of class action; (2) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Event, but in no event attorney’s fees.


16. Miscellaneous

If any provision of these Terms and Conditions is held to be unenforceable, it will not affect the validity and enforceability of the remaining provisions.

These Terms and Conditions may be amended from time to time. Any amendments shall be effected by updating the amended Terms and Conditions on the website. Seedstars may, but is not obligated to, inform you of any amendment by e-mail.

Interpretations of this agreement and determinations that a participant has breached the agreement will be made at Seedstar’s reasonable discretion and based upon facts known to us.

The failure by Seedstars to enforce any right under these Terms and Conditions will not waive the right of Seedstars to do so.
